Constitution of TNR

The name of the organisation shall be “Tehreek-e-Nojawanan Roundu (TNR)”.

TNR is a voluntary youth organisation established to serve the people of Roundu through youth engagement, leadership development, volunteerism, and community participation.

The Vision, Mission, Manifesto, and Values of TNR shall be prescribed in separate organisational documents and shall guide the activities of the organisation.

Membership shall be open to the youth of Roundu who support the objectives, values, and principles of TNR.

Members shall comply with the Constitution and all approved organisational documents.

Members who do not hold elected or appointed positions shall serve as Volunteers of TNR.

The Organisation may require background checks, identity verification, references, declarations, or safeguarding screening for volunteers and office-bearers participating in activities involving children, vulnerable persons, finances, confidential information, or any other sensitive responsibilities.

The Organisation may refuse, suspend, or terminate a volunteer appointment where safeguarding concerns, criminal conduct, fraud, or other serious risks to the Organisation are identified.

TNR shall consist of: (a) Advisory Council (ADC); (b) Ethics and Grievances Committee (EGC); (c) Central Executive Committee (CEC); (d) Union Council Committees (UCC); (e) Village Committees (VGC); (f) General Membership and Volunteers.

The ADC shall consist of 11–13 members, ensuring fair representation of all unions, women (with a minimum representation of thirty per cent (30%) and no maximum limit), and remote or underserved areas of Roundu.

Advisory Members shall hold office for a renewable term of three (3) years and shall continue in office until their successors are appointed, unless they resign or are removed from office in accordance with Clause 2.5.9 of this Constitution.

For the first term, the Interim ADC shall appoint the remaining Advisors by consensus and consultation. The Interim Council is a temporary body and shall be replaced by the formally constituted ADC at a later stage.

The ADC shall, by consensus and consultation, appoint one of its members as Chairperson of the ADC. The Chairperson shall serve at the pleasure of the Advisory Members and may be replaced by a majority decision of the Council. The Chairperson shall preside over meetings, convene special meetings when necessary, coordinate the affairs of the ADC, represent the Council in official matters, and, in the event of an equality of votes, exercise a casting vote.

Quorum for Advisory Council Meetings: The presence of at least seven (7) members, constituting a simple majority (50% plus one) of the total membership of the ADC, shall constitute a quorum for any meeting. No recommendation, resolution, or decision of the Advisory Council shall be valid in the absence of a quorum.

The ADC shall serve as the strategic advisory and oversight body of TNR.

Oversight and Accountability Powers of the Advisory Council: The Advisory Council shall exercise oversight over all office-bearers and committees of the Organisation, including the CEC and the UCC. No office bearer shall be exempt from accountability under this Constitution. The Advisory Council may, suo motu or upon complaint, summon any office bearer to answer allegations of misconduct, breach of the Code of Conduct, or failure to discharge constitutional duties. Where the matter concerns an alleged breach of the Code of Conduct, it shall first be referred to the EGC for inquiry and recommendation. Upon receipt of such a recommendation, the Advisory Council may remove the concerned office bearer by a two-thirds (2/3) majority vote.

Vacation of Office by Advisory Members: An Advisory Member who fails to attend three (3) consecutive meetings without prior notification or reasonable justification shall be automatically removed from office, and the ADC shall, at its next meeting, appoint a replacement in accordance with the prescribed procedures.

The EGC shall comprise three (3) members appointed by the ADC based on merit, impartiality, and suitability.

The ADC shall appoint one of the members of the EGC as Chairperson of the Committee. The Chairperson shall preside over all meetings, coordinate the Committee’s proceedings, and ensure the fair and timely handling of matters before the Committee.

The Committee shall address ethical, disciplinary, and grievance matters fairly and confidentially.

The Committee’s powers, responsibilities, procedures, and jurisdiction shall be governed by the Organisation’s Code of Conduct and related policies.

Notwithstanding the confidentiality provisions of this Article, the Committee may refer matters and disclose relevant information, records, or evidence to competent law enforcement or regulatory authorities where it has reasonable grounds to suspect a criminal offence, unlawful conduct, or where such disclosure is required by law.

The CEC shall be the principal executive body of TNR.

The Committee shall be responsible for implementing organisational programmes, coordinating activities, managing organisational affairs, and supporting Union Council Committees.

A quorum for meetings of the CEC, UCC, and VGC shall consist of a simple majority (50% plus one) of the total membership of the respective body. No decision, resolution, or action shall be valid in the absence of a quorum.

The President shall preside at all meetings. In the absence of the President, the Vice President shall preside.

Where both the President and Vice President are absent from a meeting of the CEC, UCC, or VGC, the members present and constituting a quorum shall elect an Acting Chairperson from amongst themselves for that meeting only.

The composition, qualifications, and responsibilities of executive positions shall be prescribed in the Leadership Qualification Criteria and related governance documents.

All members of the CEC shall be subject to the oversight and accountability mechanisms prescribed under Clause 2.5.8 of this Constitution.

Union Council Committees shall represent TNR at the Union Council level.

Union Council Committees shall be appointed by the CEC, with the President holding 40% of the voting weight and the remaining 60% vested collectively in the other members of the Committee.

The ADC may review appointments where concerns relating to conflict of interest, fairness, transparency, or organisational integrity arise.

All members of the UCC shall be subject to the oversight and accountability mechanisms prescribed under Clause 2.5.8 of this Constitution.

Village Committees shall serve as the grassroots structure of TNR.

Village Committees shall be appointed by their respective UCC, with the President holding 40% of the voting weight and the remaining 60% vested collectively in the other members of the Committee.

Elections for the CEC and UCC shall be conducted through procedures approved by the ADC.

The TNR Leadership Qualification Criteria shall govern leadership eligibility requirements.

The ADC may establish procedures for the assessment and shortlisting of candidates in accordance with the Election and Appointment Procedures.

Terms of Office: All elected and appointed office-bearers of the CEC, UCC and VGC shall hold office for a term of one (1) year.

Probation: The first six (6) months of every term shall constitute a probationary period during which the performance and conduct of the office-bearer may be reviewed by ADC.

No person shall hold the same office within the CEC, UCC or VGC for more than two (2) terms, whether consecutive or non-consecutive.

The following documents shall form part of the governance framework of TNR: (a) Vision, Mission and Manifesto Document; (b) Leadership Composition and Qualifications; (c) Code of Conduct; (d) Election and Appointment Procedures; (e) Policies and Regulations approved from time to time.

In the event of inconsistency, this Constitution shall prevail.

TNR may collaborate with governmental institutions, educational institutions, non-government organisations, community organisations, and private entities where such collaboration is consistent with the Vision, Mission, and objectives of the Organisation.

No partnership, memorandum of understanding, sponsorship agreement, or joint initiative shall bind the Organisation unless approved by the CEC and endorsed by the ADC.

No partnership shall compromise the independence, non-partisan nature, or reputation of the Organisation.

All formal agreements shall be documented in writing and maintained within the official records of the Organisation.

Governance disputes that cannot be resolved through consultation may be referred to the ADC for review and recommendation.

Matters relating to member conduct shall be governed by the TNR Code of Conduct and referred to EGC.

This Constitution may be amended by a weighted vote in which the ADC shall hold sixty per cent (60%) of the total voting weight and the CEC shall hold forty per cent (40%) of the total voting weight. An amendment shall be adopted only where the combined weighted vote in favour is not less than two-thirds (2/3) of the total voting weight.

Notwithstanding Clause 2.14.1, the initial adoption and approval of this Constitution shall be vested exclusively in the Interim ADC.

Approved amendments shall take effect immediately unless otherwise specified.

TNR may be dissolved only upon the approval of not less than three-fourths (3/4) of the ADC and three-fourths (3/4) of the CEC, provided that all members have either participated in the decision-making process or submitted a valid proxy vote through a verifiable written declaration.

Any remaining assets or resources shall be utilised for community-benefit purposes consistent with the objectives of TNR.
